TERMS OF SERVICE

1. Introduction

Welcome to Call Africa. These Terms of Service govern your use of all services, platforms, systems, and products offered by Call Africa Ltd within the Republic of Rwanda. By accessing or using any of our services, you agree to be bound by these Terms, as well as all applicable laws and regulations in Rwanda, including the Data Protection and Privacy Law (Law N°058/2021), RURA guidelines, and any other telecom or financial regulations. If you do not agree to these Terms, you must discontinue your use of our services immediately.

2. Definitions

“Call Africa”, “we”, “our”, and “us” refer to Call Africa Ltd, a legally registered company in Rwanda. “You”, “client”, or “user” refers to any person or organization accessing or using our services. “Services” refers to all telecommunications, software solutions, messaging tools, financial technologies, USSD systems, hardware products, and BPO services provided by Call Africa. “Content” refers to any data, messages, files, or materials transmitted or uploaded through our systems. “Personal Data” refers to any information relating to an identifiable individual, as defined under Rwandan law.

3. Description of Services

Call Africa provides a comprehensive range of communication and technology solutions. Our bulk SMS services enable businesses to send messages through file uploads, REST APIs, or SMPP connections. We also offer USSD development and hosting, enabling interactive customer experiences and financial workflows. In addition, Call Africa provides mobile payment and financial solutions, including mobile money integration, transaction processing, payment APIs, and wallet services, all of which must comply with Bank of Rwanda (BNR) regulations.

We offer BPO and call center services, including customer support, technical assistance, and professional outsourcing operations. Furthermore, Call Africa distributes and supports telecommunications hardware and software products such as IP PBX systems, IP phones, headsets, GSM gateways, voice loggers, CRM platforms, video conferencing equipment, IVR systems, and PRI cards.

4. Eligibility

To use the services of Call Africa, you must be legally capable of entering a binding contract under Rwandan law. You must provide accurate registration details and use the services only for lawful purposes. Your use must comply with telecom, data protection, marketing, financial, and consumer regulations in Rwanda.

5. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities performed under your account. You must notify us immediately if you detect unauthorized access or suspicious activity. You are also responsible for ensuring that your systems and applications integrate correctly with our platforms.

6. Acceptable Use

You agree not to misuse any of our services. This includes sending unsolicited or spam messages, sharing illegal or harmful content, engaging in fraud or impersonation, conducting unauthorized financial transactions, violating RURA or BNR regulations, distributing political messages without required approvals, uploading harmful code, or attempting to disrupt our systems. We reserve the right to suspend or terminate your services for any misuse.

7. Consent and Compliance

You are fully responsible for obtaining proper consent from message recipients and for ensuring that all communications comply with Rwandan telecommunication laws. Messages must respect opt-in and opt-out rules as well as Do Not Disturb (DND) lists. You must comply with the Data Protection and Privacy Law, and you remain solely liable for all content transmitted through your account.

8. Service Availability

Call Africa strives to provide high service availability; however, we do not guarantee uninterrupted services. SMS delivery may be affected by mobile operators, network disruptions, or recipient device issues. USSD and payment services depend on third-party systems such as mobile network operators and financial providers. Hardware availability is subject to supply conditions.

9. Fees and Billing

Service fees are communicated through contracts, quotations, or published pricing. You are required to pay invoices on time. Failure to do so may result in service suspension. All applicable taxes, including VAT, will be charged according to Rwandan law.

10. Refund Policy

Refunds may be issued only in situations where Call Africa is responsible for a verified technical failure that prevented the service from functioning. Hardware products may be covered by warranty as specified upon purchase. Refunds are not provided for operator-blocked messages, invalid phone numbers, DND issues, or user errors. The details of the refund policy may vary depending on the contract.

10. Refund Policy

11. Intellectual Property

Call Africa retains all intellectual property rights to its platforms, APIs, software, USSD codes, documentation, and systems. Clients receive only a limited license to use these resources according to their contractual agreements.

12. Limitation of Liability

To the fullest extent permitted under Rwandan law, Call Africa is not liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data. We are not responsible for delays caused by third-party networks, integration failures on the client side, or outages beyond our control. Our total liability is limited to the fees paid by the customer in the previous six months.

13. Suspension and Termination

We may suspend or terminate your access to our services if you violate these Terms, engage in fraud or illegal activity, fail to pay invoices, or if required by regulatory authorities such as RURA or BNR. You may terminate your account at any time, but outstanding obligations remain enforceable.

14. Changes to These Terms

Call Africa may update these Terms from time to time. Your continued use of our services after such changes indicates your acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the Republic of Rwanda. Any disputes will first be addressed through negotiation and mediation. If unresolved, disputes may be referred to arbitration or the competent courts of Rwanda.
